Tron Seeks $1 Billion in Sun Deal, Nasdaq Backing

Tron Inc., a Nevada-based blockchain and consumer company, has filed with the SEC to register up to $1 billion in securities. The offering is being filed as a “shelf filing,” which allows for different types of securities to be sold over time based on capital needs and treasury developments.

According to the filing, Tron plans to offer common and preferred shares, as well as debt, warrants, and call rights, in various combinations. They could be sold directly or through underwriters and dealers. The company’s shares are already listed on Nasdaq under the ticker symbol “TRON.”

Of particular note is the new Advisory Agreement with Justin Sun, the founder of Tron, signed as part of a broader restructuring. In mid-June 2025, the company completed a $50 million private placement (PIPE) of 100,000 Series B preferred shares and 220 million warrants. Each preferred share is convertible into 2,000 common shares at $0.50. The warrants are also exercisable at the same price.

The sole participant in this investment deal was a firm owned by Justin Sun’s father, Weik Sun. As part of the agreement, he received a seat on Tron’s board of directors, which underscores the strategic nature of raising capital with the participation of the founder’s family.

Tron is actively developing its strategy for accumulating digital assets. The company already controls more than 365 million TRX tokens and intends to continue acquiring them using funds received from new equity placements and debt. While this policy comes with the risk of cryptocurrency market volatility, supporters of the project highlight the practicality of TRX in areas such as governance, staking, and transaction fees.

The uniqueness of Tron’s model lies in its combination of traditional financial instruments and a blockchain treasury, which allows the company to flexibly adapt to both traditional and cryptocurrency markets. The backing of Nasdaq and the involvement of influential figures such as the Sun family strengthen Tron’s position in pursuing this hybrid strategy.
